Terms of service

Version 0.2, 26 July 2026. These terms govern use of Parity Backup (“the Service”), a product of WIKI-TECH LIMITED, a company registered in England and Wales (company no. 14141095), registered office 21 Curzon Road, Maidstone, Kent ME14 5BB (“we”, “us”).

1. The Service

Parity Backup is a managed backup service for cloud productivity data. It copies supported data from your Microsoft 365 tenant into encrypted, deduplicated storage located in Finland (European Union), and provides restoration to the original location, restoration to an alternative location, and export download. How that data is handled and secured is set out in the privacy policy, and the security measures actually in force are listed in Annex II of the data processing agreement.

Launch status. The Service is in final build. Registering for a trial creates no obligation on either side and does not guarantee availability or pricing until an order is placed and accepted.

Coverage. The Service backs up and restores Exchange Online primary and shared mailboxes (mail, calendar, contacts), In-Place Archive mailboxes, OneDrive files and folders, SharePoint document libraries, SharePoint lists, pages and site metadata, and Microsoft 365 Groups team sites. Teams and Groups conversation messages are in development and not yet part of the Service; do not rely on them being backed up until we say otherwise in writing. Public Folders, Planner, and identity or tenant configuration are not covered.

2. Accounts and authority

You must be authorised to administer the tenant you connect. You grant the Service access via application consent and may revoke that consent at any time; revoking consent ends backups. Multi-factor authentication is mandatory on every account, and you are responsible for keeping your own credentials and recovery codes safe.

3. Trial

New accounts begin with a 30-day free trial. No charge is made during the trial, and no card is required to start one. The trial exists so you can run the Service alongside an existing backup before switching, which includes testing restores.

If you add a card, paid billing begins when the trial ends. If you do not, the trial simply stops: backups and restores pause at the end of the trial and your data is kept for 30 days so you can add a card and pick up where you left off. We will remind you 7, 3 and 1 days before that happens.

4. Charges

The Service is billed monthly per protected seat, at the published list price for the plan in force, excluding VAT and sales taxes. A seat is a licensed user mailbox that we back up; shared mailboxes are backed up and not billed.

Currency. We bill in US dollars, pounds sterling or euros, and the price you are shown in your currency is the price charged in that currency. Currency is fixed when your subscription is created and cannot be changed afterwards, which is a constraint of our payment processor rather than a policy of ours.

Storage. Storage is provided without a preconfigured limit, subject to the fair use allowance above: each licensed seat contributes its allowance to a pool shared across that Microsoft 365 tenant. Allowances are never aggregated across separate tenants. Where a tenant approaches its pool we will notify you before any additional charge arises; storage above the pool is then billed per GB at the published rate, currently US$12 · £9.50 · €11.00 per TB per month. We do not charge retroactively for past usage.

Tax. UK VAT at 20% is added where applicable; EU and US taxes are applied per local rules.

Storage location. The published prices assume our standard storage location, Finland, which is what makes them what they are. Where your own policy or a regulator requires it, we can hold your backups with another provider or in another region, for example Azure or Wasabi, under a written agreement that names the provider, the location and the price. That arrangement is quoted separately and is not included in the list price.

5. Non-payment

If a payment fails, we will tell the billing contact on the day it fails and again as it stays outstanding, naming the date the Service pauses. If it is still outstanding 14 days after the first failed charge, scheduled backups, manual backups and restores pause until it is settled.

A pause is not a deletion and not a closure. Nothing is deleted, your existing backups are kept in full, you can still sign in, and your billing page keeps working so you can fix the card. Settle the payment and everything resumes automatically. We may suspend or close an account that remains unpaid well beyond that point, and we will tell you before we do.

6. Cancellation and closure

There is no minimum term. You may cancel at any time; billing stops at the end of the current paid period, and backups remain restorable until then. Export your data before you close the account.

Closing an account deletes it. Account records go immediately and stored backup content is deleted including prior versions, so there is no recoverable copy left behind. Copies persist in our own database backups until those rotate out, which is about a month. This is not reversible, which is why closure requires a typed confirmation.

7. Acceptable use

You may use the Service only to back up tenants you are authorised to administer, and in compliance with applicable law. You must not attempt to access another customer’s data or disrupt the Service. We may suspend an account that breaches this clause, and will tell you why.

8. Data protection

For the content of your backups you are the data controller and we act as data processor, or as sub-processor where your provider runs the Service for you. Processing is described in the privacy policy, and the terms of that processing are the data processing agreement, which is part of these terms and binding without a separate signature. A countersigned copy is available on request. Sub-processors are listed at /legal/subprocessors, with 30 days’ notice before any addition.

9. Service levels

The Service is provided with reasonable skill and care. We do not currently publish an availability or restore-time service level. Restoration throughput depends on the source platform’s throttling, which is outside our control, and a large restore is measured in hours rather than minutes.

10. Liability

Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, our aggregate liability in any 12-month period is capped at the fees you paid in that period, and we are not liable for indirect or consequential loss. A backup service reduces risk; it cannot eliminate it, and you remain responsible for verifying that restores meet your recovery requirements. Test a restore before you need one.

11. Changes to these terms

If we change these terms in a way that materially affects you, we will tell the billing and notification contacts on the account before the change takes effect. Continuing to use the Service after that date is acceptance; if you would rather not, cancel under §6.

13. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
